Auto-Hauling Consolidation Reaches 25% Share: Protecting Capacity Through Carrier M&A

Auto-hauling consolidation can protect capacity by keeping drivers, specialized equipment, and terminal coverage inside a stronger network. It can also concentrate a shipper's exposure in one carrier group. The proposed combination of Proficient Auto Logistics and Hansen & Adkins puts both effects into sharp focus.
The transaction is not simply a change in ownership. It alters how automotive shippers should evaluate lane coverage, pricing power, equipment availability, claims administration, and contingency capacity. Procurement teams need to look beyond the carrier name on a routing guide and understand which fleets, terminals, insurance programs, and operating authorities now sit behind it.
A $130 million deal changes the capacity map
FreightWaves reports that Proficient agreed to acquire Hansen & Adkins for $130 million. The acquired operation is expected to add 725 company-owned tractor-trailer units and a little more than $400 million in annual revenue, more than doubling Proficient's existing fleet.
The combined platform is expected to move more than four million vehicles per year—roughly 25% of the new-car market. Its companies generated approximately $835 million in revenue and $60 million to $65 million in adjusted EBITDA over the previous 12 months. Those figures show the scale entering one network, but the operating context matters just as much.
Proficient's second-quarter vehicle deliveries fell 8% year over year to 581,000. Management attributed part of that decline to an inability to find sufficient market capacity after difficult economics pushed some haulers out of business. Revenue declined 5% to $109 million, while the adjusted operating ratio deteriorated by 280 basis points to 99.5%. June improved to a 95.7% adjusted operating ratio as pricing actions began catching up with fuel, equipment, and driver costs.
For shippers, the message is blunt: consolidation is occurring while specialized capacity is already under pressure. A larger platform may preserve assets and expand coverage, but it may also gain more leverage during annual bids and surge periods.
What changes after two fleets become one
The first benefit is network reach. A combined carrier may connect more assembly plants, ports, rail ramps, vehicle-processing centers, and dealer markets with company equipment. That can reduce empty repositioning and make multi-stop or backhaul planning more practical.
The second benefit is equipment depth. Auto transporters cannot be replaced casually with standard dry vans. Their trailers, loading practices, damage controls, and drivers are specialized. Keeping 725 units active under a financially supported platform can matter more than adding an interchangeable carrier record to a bid event.
The risks are equally concrete:
- Pricing concentration: Two formerly competing bid responses may become one economic decision, especially on lanes where both carriers had strong terminal density.
- Hidden equipment overlap: A national fleet total can look impressive while a particular origin market still lacks the right trailer configuration or drivers.
- Claims transition: Damage reporting, inspection standards, deductibles, adjusters, and escalation contacts may change before every shipment record reflects the new process.
- Service correlation: A cyber incident, insurance problem, labor disruption, or systems cutover can affect a larger share of a shipper's network after integration.
That broader market is tightening too. SupplyChainBrain notes that capacity constraints may persist through 2026 and beyond. Its cited April data showed the Cass Truckload Linehaul Index up 5.6% year over year and spot truckload rates up 25%. Auto hauling has its own economics, but rising fuel, driver, equipment, and financing pressure crosses transportation segments.
Rebuild carrier master data before rebuilding the routing guide
An acquisition creates a dangerous period when commercial assumptions change faster than operating records. Before routing-guide changes go live, shippers should complete a controlled before-and-after review.
Before legal close or operational cutover:
- Export every carrier record, SCAC, operating authority, tax identity, insurance certificate, terminal, contact, lane award, rate table, fuel schedule, accessorial, claims rule, and EDI/API connection tied to either fleet.
- Map where both carriers appear in the same primary-and-backup sequence. Those lanes may lose genuine redundancy even if two names remain visible.
- Establish baseline acceptance, on-time pickup, on-time delivery, dwell, damage, claims-cycle, and equipment-availability performance by lane and terminal.
- Identify open claims, unpaid invoices, in-transit vehicles, and outstanding proof-of-delivery records that must retain their original legal owner.
After cutover:
- Validate—not assume—which operating authorities, SCACs, bank details, insurance policies, and electronic endpoints remain active.
- Confirm each terminal's service territory, dispatch contact, hours, driver pool, trailer types, and surge capacity.
- Reissue routing rules only after duplicate carrier identities and obsolete tender paths are blocked.
- Compare service weekly against the pre-deal baseline, separating integration noise from structural capacity changes.
This is where a transportation management system earns its keep. The routing guide, master data, tender history, rates, documents, and exceptions should share one controlled record rather than being reconciled across email threads after a failure.
Set concentration limits that trigger action
A shipper does not need to reject a larger carrier to control concentration. It needs measurable limits. Track awarded and executed volume by corporate parent—not only by carrier code—across origin, destination, plant, port, rail ramp, and weekly peak.
A practical policy can flag review when one parent controls more than a defined share of a critical lane, region, or total vehicle volume. The exact threshold depends on available alternatives, but the trigger should be lower where a single missed pickup can stop yard flow or delay a launch. Measure trailer positions and driver availability as well as shipment count; nominal awards do not guarantee physical capacity.
Backup activation should also be objective. Trigger secondary capacity when tender acceptance falls below target for a rolling period, confirmed equipment drops below the next production window, dwell exceeds the yard limit, damage frequency breaches tolerance, or a carrier cannot provide timely status messages. Run periodic test tenders with backup carriers so contingency capacity is operational, insured, connected, and priced before it is urgently needed.
Turn consolidation into controlled resilience
Carrier M&A can preserve scarce auto-hauling assets and create a stronger network. It does not automatically create resilience for every shipper.
